TEST ENGINE

END USER EVALUATION LICENCE

The Open GroupThis Test Engine is made available to you by X/Open Company Limited, trading as The Open Group ("The Open Group") as an Evaluation copy of the Test Engine developed to support the OGC Interoperability Program designated "Conformance & Interoperability Test & Evaluation" (CITE).

You accept that the following terms and conditions apply to this software.

RECITALS:

(A)          The Open Group owns, or is entitled to grant licences in respect of, a suites of computer programs known as the Test Engine (defined below);

(B)           The Open Group is willing to grant to the Licensee, and the Licensee is willing to accept from The Open Group, a licence to use the Test Enginedefined in Annex 1 to this schedule, subject to the provisions of this Agreement.


1.            DEFINITIONS

In this Agreement the following words shall have the following meanings unless the context requires otherwise:                                                       

"Commencement Date" The date of the download of the Test Engine .
"Expiry Date" One year from download of the Test Engine.
"Fees" The fees described in Annex 1 and more fully referred to in Clause 3 below.
"Single Site licence"

A licence to use "the Test Engine" at single site as described in Annex 1 hereto.

 "the Test Engine" The Open Group's The Open Grouptest engine defined in Annex 1 hereto.
"Person"  Includes a body of persons whether or not incorporated.
"Project"      The Open GIS Consortium CITE1 Project  

IT IS AGREED as follows:

2.            LICENCE

In consideration of the Licensee participating in the Project and accepting and performing its obligations as set out in this Agreement, The Open Group hereby grants the Licensee a non-exclusive, non-transferable licence to use the Test Engine for evaluation purposes upon the following terms and conditions:

2.1 That the Licensee may use the Test Engine as set out in Annex 1 to this Agreement for the purpose of testing test cases and GML capability exclusively for the Project.  For the avoidance of doubt this Agreement does not grant any licence to make use of the Test Engine in the course of providing, or offering to provide, a Testing Service to a third party.  Unless otherwise agreed by The Open Group in writing only The Open Group or its nominee shall be entitled formally to conduct such tests.

2.2 That the Licensee will not assign, transfer, mortgage, charge, sub-license or otherwise make over to any third party any of the rights or obligations under this Agreement without the previous written consent of The Open Group.

2.3 That the Licensee will not update, alter, modify or tamper with the Test Engine in any way. Test EngineThe Open GroupTest EngineThe Licensee acknowledges that The Open Group will only recognise the unmodified version as valid for warrantee, support or any other purpose whatsoever.

2.4 That the Licensee will not copy the Test Engine or any part of it and will ensure that its officers, employees or agents will not do so except as required for operational security and use, or under the conditions as set out in Annex 1 to this Agreement, PROVIDED that the Licensee shall maintain an up to date register of the numbers and location of all such copies made. 

2.5 That the Licensee acknowledges that the Test Engine is proprietary and confidential to The Open Group and/or its head licensor and will use its best endeavours to prevent its disclosure to, or use by, any third party.  The Licensee may, however, disclose the Test Engine to those of its employees and partners working with them on the Proejct who reasonably need to have access to them PROVIDED that the Licensee shall have made such employees and partners aware of the proprietary and confidential nature of the Test Engine, of The Open Group's interest in same, and of the Licensee's obligations in respect of non-disclosure and use of the Test Engine under this Agreement, and that such employees shall have undertaken to the Licensee to abide by such obligations.

2.6 That the Licensee will not remove and will abide by any copyright statements on any part of the Test Engine (or on the computer screen when the Test Engine is used) and will ensure that such statements appear in their original form on all copies made (if any) in accordance with sub-clause 2.4 above, and will ensure that its officers, employees and agents comply with this clause 2.6.

2.7 That the Licensee will not use, copy or disclose the Test Engine or any information contained in or derived from use of the Test Engine other than such use, copying or disclosure of the complete the Test Engine as is expressly permitted by sub-clauses 2.1, 2.4 and 2.5 above.  The Licensee shall not disclose or make any claim that a product is conformant or compliant with any specification or standard as a result of running the Test Engine without the previous written consent of The Open Group.

2.8 That title to the Test Engine and recording materials and other materials supplied hereunder shall at all times remain with The Open Group and/or its head licensor.  This Agreement is for the grant of a licence of copyright in the Test Engine and not for the sale or hire of goods.

2.9 Nothing in this Agreement shall oblige The Open Group to license future developments or improvements of the Test Engine to the Licensee.

3.            CONSIDERATION

This Licence is granted in consideration of Licensee’s participation in the Project, and licence fee is payable under this Agreement.

4.            DURATION AND TERMINATION

4.1 This Agreement and the licence granted hereunder shall commence with effect from the Commencement Date and shall continue (unless terminated earlier in accordance with sub-clause 4.2 below) until the Expiry Date or such other date as is agreed between the parties to this Agreement in writing.

4.2 The Open Group may terminate this Agreement forthwith by notice in writing in the event that:

4.2.1 the Licensee is at any time in breach of its obligations hereunder and in the case of a breach capable of remedy within thirty days has not remedied such breach within thirty days of being given notice requiring it to do so.

4.2.2 if an order is made or a resolution is passed for the winding up of the Licensee (other than voluntarily for the purposes of solvent amalgamation or reconstruction) or an order is made for the appointment of an administrator to manage the Licensee's affairs, business and property or if a receiver (which expression shall include an administrative receiver) is appointed of any of the Licensee's assets or undertaking or if circumstances arise which entitle the court or a creditor to appoint a receiver or manager or which entitle the court to make a winding-up order or if a voluntary arrangement is proposed in respect of the Licensee or if the Licensee takes or suffers any similar or analogous action in consequence of debt.

5.            CONSEQUENCES OF TERMINATION

Upon and after termination of this Agreement for any reason:

5.1   The licence granted hereunder shall forthwith automatically cease.

5.2   The Licensee shall destroy and delete or deliver up to The Open Group the Test EngineTest Engine and all copies and related materials in its possession or under its control and within thirty days of the date of termination certify in writing to The Open Group that this has been done in the form set out in Annex 2 hereto.

5.3   The Licensee shall not, and shall ensure that its officers, employees and agents shall not make any further use or disclosure of the Test EngineTest Engine or any other confidential information disclosed by The Open Group under or in relation to this Agreement.  For the avoidance of doubt, this clause does not restrict the right of the Licensee to use the test logs and test results obtained through the use of the Test EngineTest Engine in accordance with this licence.

6.            LIABILITY

THE LICENSEE ACKNOWLEDGES THAT BECAUSE OF THE SPECIAL NATURE OF THE TEST ENGINE AND OF THE OPEN GROUP IT IS REASONABLE FOR THE OPEN GROUP TO EXCLUDE LIABILITY AS SET OUT BELOW AND FOR THE LICENSEE TO TAKE MEASURES, INCLUDING INSURANCE WHERE APPROPRIATE, TO MITIGATE OR PREVENT ANY POTENTIAL LOSSES THAT MAY ARISE (PROVIDED THAT SUCH MEASURES ARE NOT IN BREACH OF THIS AGREEMENT).  THE OPEN GROUP ON ITS OWN BEHALF AND ON BEHALF OF ITS OFFICERS, EMPLOYEES AND AGENTS HEREBY EXCLUDES ALL LIABILITY, WHETHER IN CONTRACT, TORT OR OTHERWISE, ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE LICENCE GRANTED HEREUNDER OR THE USE OR NON-USE BY ANY PERSON OF THE TEST ENGINE OR OTHER INFORMATION PROVIDED BY THE OPEN GROUP TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW.  IN NO EVENT SHALL THE OPEN GROUP BE LIABLE FOR ANY INDIRECT OR CONSEQUENTIAL LOSSES (INCLUDING, WITHOUT LIMITATION, ANY LOSS OF PROFITS, CONTRACTS, PRODUCTION OR USE).

7.            INFRINGEMENT

7.1       If any third party makes any claim against the Licensee that the Test Engine infringe any copyright, trade secret or other intellectual property rights of such third party, the Licensee shall notify The Open Group thereof promptly in writing.  The Open Group shall use reasonable efforts to secure the Licensee’s right to continue using the Test Engine or to make them non-infringing.  The Licensee shall co-operate with The Open Group by furnishing technical or other information which may be of help in defending against or settling such claim.

7.2       If the Test Engine is likely to become, in the opinion of The Open Group, the subject of an infringement claim, The Open Group may, at its option, either secure the Licensee’s right to continue using the Test Engine, or make them non-infringing or discontinue the Test Engine upon one month’s written notice and, from and after such date, the Licensee shall not be authorised to make further use of the Test Engine.  THIS CLAUSE STATES THE ENTIRE RESPONSIBILITY OF THE OPEN GROUP CONCERNING INFRINGEMENT.

8.            GENERAL

8.1       If any provision of this Agreement is held to be invalid or inapplicable in some or all circumstances by any court or other authority of competent jurisdiction the remaining provisions shall remain in force and the parties will make such amendments to this Agreement by the addition or deletion of wording as appropriate to remove the invalid or unenforceable part or application of such provision.

8.2    Failure or delay by The Open Group in exercising or enforcing any right or remedy under this Agreement in whole or in part shall not be deemed a waiver thereof or prevent the subsequent exercise of that or any other right or remedy.

8.3    Any notice or other document to be given under this Agreement shall be in writing in the English language and shall be given by hand, courier, pre-paid recorded delivery, or registered post to the address of the receiving party set out at the head of this Agreement unless a different address has been notified to the other in writing for this purpose.

8.4    This Agreement is made under English law and the parties submit to the non-exclusive jurisdiction of the English courts.

8.5    Headings in this Agreement are for convenience only and shall not affect its interpretation.

8.6    This Agreement constitutes the entire agreement and understanding of the parties relating to the subject matter of this Agreement and supersedes all prior oral or written undertakings, understandings or arrangements between them relating to such subject.  The parties acknowledge the provisions of this Agreement are reasonable and that they are not relying on any agreement, understanding, arrangement, warranty, representation, term or condition which is not set out in this Agreement.  No change may be made to the provisions of this Agreement except in writing signed by duly authorised representatives of both parties.

ANNEX 1 to TEST ENGINE END USER LICENCE

DEFINITIONS

Description Of the Test Engine licensed including Version Number And Date

Test Engine to support the OGC Interoperability Program Interoperability Initiative designated Conformance & Interoperability Test & Evaluation (CITE), specifically tests developed for the WMS and WFS technical specifications, and for the GML Capability.

The Test Engine will be released as part of the OGC Test Suite, version (GA Release v2.3) dated 28th February 2005.

Commencement Date

The licence term shall commence on the date of download of the Test Engine.

Expiry Date

The licence shall expire one year after the commencement date.

Fees

There are no fees payable on execution of this agreement.
